Terms of Use

These Terms of Use ("Terms") govern your use of the Pivot mobile application (the "App") operated by Mattered LLC ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on your iOS device
  • Use the App for your personal, non-commercial purposes
  • Access and use the features provided by the App

3. Restrictions

You agree not to:

  • Modify, reverse engineer, decompile, or disassemble the App
  • Copy, distribute, or create derivative works based on the App
  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the App
  • Remove any copyright or proprietary notices from the App
  • Use the App in any way that could damage, disable, or impair our services

4. Intellectual Property

The App and all its content, features, and functionality are owned by Mattered LLC and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

5. User Content and Conduct

The App allows you to customize your app arrangements and preferences. You retain ownership of your configurations, but grant us a license to use this information to provide and improve our services. You agree to use the App responsibly and in compliance with all applicable laws.

6. Privacy

Your use of the App is also governed by our Privacy Policy. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

7. Third-Party Services

The App may interact with third-party applications on your device. We are not responsible for the content, privacy policies, or practices of any third-party apps. Your use of third-party apps is governed by their respective terms and policies.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATTERED LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mattered LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the App or violation of these Terms.

11. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will cease immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or by other means. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the United States.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
